Coinbase Adds IPO Shares to Its Expanding Everything Exchange

Coinbase Opens IPO Allocations to Retail Investors

Eligible U.S. retail investors can now request shares at the IPO price before public trading begins through crypto exchange Coinbase (Nasdaq: COIN). The company announced the IPO allocation feature on Sept. 21, extending its equities business beyond secondary-market trading and into the primary market where companies initially sell shares to investors.

The feature begins with smart-ring maker Oura, which applied to list its common stock on the Nasdaq Global Select Market under the ticker OURA. The company’s Form S-1 filed with the Securities and Exchange Commission on Sept. 3 identifies Goldman Sachs, Morgan Stanley, JPMorgan, Allen & Co., and Jefferies among the offering’s lead bookrunners.

Coinbase previously opened U.S. stock and exchange-traded fund trading to eligible customers, providing access to more than 8,000 securities, fractional shares, and 24/5 trading. IPO allocations move the company into an earlier stage of the equity lifecycle, giving retail customers a chance to purchase shares before their open-market debut.

How Coinbase IPO Requests and Allocations Work

Customers seeking an allocation must open the IPOs section of the Coinbase app, select an active offering, and fund their brokerage account for the requested purchase. Once the expected price range becomes public, they can submit a “Conditional Offer to Buy,” which remains editable or cancelable while the order period is open.

Available shares are allocated after the order book closes and booked into successful customers’ accounts at the final IPO price. A request does not guarantee shares, since the final amount depends on customer demand and the supply provided by underwriters. Coinbase may fill an order completely, allocate fewer shares than requested, or provide no allocation.

Coinbase says its allocation system prioritizes customers who appear willing to retain their IPO shares rather than sell immediately. Selling allocated shares within 30 days may prevent an investor from participating in IPO offerings for the following 60 days. Repeated early sales may also produce smaller or less frequent allocations than those received by customers with longer holding periods.

The company presented the service as another component of its Everything Exchange product expansion, which has included pre-IPO perpetual futures, stock options, and plans for tokenized equities. Coinbase stated:

“This is the next step in growing the Everything Exchange as a trusted platform to trade any asset at any stage of its lifecycle.”

Coinbase Capital Markets Handles the Securities

The securities transactions operate through Coinbase Capital Markets Corp., a broker-dealer separate from Coinbase’s digital asset business. A current Financial Industry Regulatory Authority record lists the company as registered with the SEC, FINRA, and 51 U.S. states and territories. Customers must also complete an eligibility questionnaire intended to identify people restricted from participating in IPOs.

Coinbase Capital Markets participates as a best-efforts selling-group member rather than an IPO underwriter. The broker-dealer aggregates customer orders and routes them through Apex Clearing Corp., which provides execution, clearing, and custody. Coinbase Capital Markets acts as the customer’s agent without holding IPO inventory or taking the opposite side of the transaction.

The brokerage structure supports an Everything Exchange strategy Coinbase advanced at a December product launch that combines traditional and digital markets within one account. The initiative has expanded Coinbase beyond cryptocurrency trading into stocks, derivatives, prediction markets, and primary-market share allocations.

Bitcoin and traditional investments have different market structures, volatility profiles, and risk characteristics. These distinctions become increasingly relevant as Coinbase places crypto and stocks on one platform, making it useful for investors to understand how bitcoin compares with stocks, bonds, and other investments. Coinbase Capital Markets plans to add further IPO opportunities when selling-group allocations become available.
