SEC Grants Five-Year Exemption For Tokenized Stock Trading Venues

The SEC has taken one of its clearest steps yet toward bringing public-company shares on-chain.

The Commission approved a temporary “Innovation Exemption” allowing qualifying Tokenized Securities Venues to facilitate trading in tokenized National Market System stocks using permissioned automated market makers and liquidity pools.

The relief is set to expire five years after publication unless the regulatory framework changes in the meantime.

That makes this an experiment rather than a permanent rewrite of U.S. securities law, but it is still a fairly substantial one.

Tokenized Stocks, With Conditions

The exemption does not create a free-for-all.

The SEC laid out a series of requirements designed to keep the tokenized version tied closely to the legal and economic reality of the underlying stock.

Tokenized shares made available through a venue must provide holders the same rights and privileges as the corresponding conventional stock.

The venues also face limits on symbols and trading volume, while smart contracts used in the system must be auditable, public and deployed on a public permissionless distributed ledger.

If trading in the underlying stock is halted on its primary exchange, trading in the tokenized version must stop too.

That is an important detail.

The SEC is not creating a parallel stock market that can simply ignore the rules governing Nasdaq- or NYSE-listed securities.

It is allowing a different technical rail for trading the same economic asset.

A Door Opens For On-Chain Market Structure

For crypto infrastructure companies, the exemption could be a meaningful opening.

Tokenization has spent years sitting in a strange middle ground: technically straightforward, but difficult to scale because securities regulation was designed around a different market architecture.

The Commission’s order creates a controlled path for market participants to test on-chain execution while the SEC collects feedback and considers what a longer-term structure should look like.

Commission officials have described the move as a way to experiment with tokenized markets without abandoning investor protections.

That is probably the sensible way to read it.

Tokenized equities are not suddenly replacing the conventional stock market.

But for the first time, the SEC has built an explicit regulatory lane where limited on-chain secondary trading of U.S. listed shares can actually happen.
